Terms of service

The agreement for using Mosaqo, including how we process data for you.

Last updated

These terms are an agreement between Mosaqo LLC ("Mosaqo", "we") and the business that signs up ("you"). They cover your use of the Mosaqo platform and website. By creating an account or using Mosaqo, you accept them on behalf of your business and confirm you are allowed to do so.

1. What Mosaqo is

Mosaqo is software for villa management companies and other property teams. Guests request services from their phone, your team coordinates them, and service providers confirm. Mosaqo provides the software only. You, not Mosaqo, offer and sell services to your guests, set your prices, and are responsible for your agreements with guests and providers. Mosaqo does not take or hold payments from guests.

Mosaqo is for businesses. You must be at least 18 and use Mosaqo for your trade or profession, not as a consumer.

2. Accounts

You are responsible for your account, for keeping sign-in details safe, and for what happens under it. You decide who joins your organization and what they can do. Tell us promptly at support@mosaqo.com if you suspect unauthorized use.

3. Trial, plans, billing and refunds

New organizations get a free trial of 30 days, with no card required. After the trial, a paid plan is needed to keep using Mosaqo.

Prices are in US dollars, per published property, and shown on our pricing page. Plans are billed monthly or yearly in advance and renew automatically until you cancel. Payments are processed by Stripe, and charges appear on your statement as MOSAQO. Prices exclude taxes, which you pay where they apply.

You can cancel at any time in your billing settings; access continues until the end of the paid period. Monthly fees are not refunded, including for part of a month. If you pay yearly, you can cancel within 14 days of the yearly charge and get that charge back in full. Otherwise fees are not refundable, except where the law requires otherwise or these terms say so.

We may change prices with at least 30 days' notice. The new price applies from your next billing period.

4. Acceptable use

You agree not to:

  • break the law, or infringe anyone's rights, through Mosaqo;
  • send spam, harassment or harmful content, including in messages to guests or providers;
  • enter special categories of personal data (such as health, religion or sexual orientation), identity documents, or card and bank details, unless a feature is built for it;
  • try to access data or accounts that aren't yours, probe or disrupt the platform, or get around its limits;
  • copy, resell or reverse engineer the software, except where the law allows it.

Messages on Mosaqo are for coordinating requests. They are not an emergency service.

We may suspend access that puts the platform, other users or guests at risk, and will tell you why when we can.

5. Your data

Your data stays yours. You give us permission to host, process and display it only to provide and improve Mosaqo for you, as set out in the Data Processing Addendum below and in our Privacy Policy.

Guests and providers use Mosaqo through your organization. You are responsible for having a legal basis for the data you enter and for giving your guests your own privacy notice, which should mention that you use Mosaqo.

6. Service providers and guests

Service providers (for example chefs, drivers or cleaners) may use Mosaqo when you invite them. Their use is governed by these terms too. They receive only the details needed for the jobs assigned to them, and may use guest details only to do those jobs. Providers pay nothing to Mosaqo, and any work or payment between you and a provider is between you and them.

Guests use Mosaqo without an account, through a link or code from you. By using it they agree to use it lawfully and respectfully. Any service they request is provided by you or your providers, not by Mosaqo.

7. Your licences and local rules

You are responsible for running your business lawfully where you operate. That includes holding the licences, permits and registrations your properties and services need (for example a hotel licence under Thailand's Hotel Act, or business registration and permits in Indonesia), and making sure the services you offer, and the staff and providers who deliver them, meet local rules. Mosaqo does not check this and is not responsible for it.

8. Availability and changes

We work to keep Mosaqo available and secure, but we don't promise uninterrupted service. We improve Mosaqo over time and may change or retire features. If a change materially reduces what you pay for, we will tell you in advance, and you may cancel and receive a refund of prepaid fees for the unused period.

9. Leaving Mosaqo

You can stop using Mosaqo at any time. You can ask us to export your data at any time, including after you cancel. We provide it at no charge in a common machine-readable format (such as JSON or CSV) within 30 days.

When your subscription ends, we keep your data for 90 days so you can export it or return, then delete it, except where the law requires us to keep it longer. We can switch you to another provider's service within the timelines the EU Data Act sets, and we charge no switching fees.

10. Ending the agreement

Either of us may end this agreement if the other seriously breaches it and does not fix the breach within 30 days of being told. We may end it immediately if you misuse Mosaqo in a way that puts others at risk.

11. Liability

Mosaqo is provided "as is", to the extent the law allows.

Neither of us is liable for indirect or consequential losses, or lost profits, revenue or data. Each party's total liability under this agreement, including the Data Processing Addendum, is limited to the greater of US$100 or the fees you paid in the 12 months before the claim.

These limits don't apply to liability that cannot be limited by law, or to your payment obligations.

You are responsible for your services to guests, your dealings with providers, and the content you add. If a claim is brought against us because of these, you will cover our reasonable costs.

12. Confidentiality

Each of us will keep the other's non-public business information confidential and use it only for this agreement.

If you believe content on Mosaqo infringes your copyright, send a notice to our designated agent: Dominik Becker, dominik@mosaqo.com (US Copyright Office designation DMCA-1077831). We handle notices and counter-notices under the US Digital Millennium Copyright Act and may close repeat infringers' accounts.

14. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email or in the app. If you keep using Mosaqo after that, the new terms apply; if you don't agree, you may cancel before they take effect.

15. General

These terms, including the Data Processing Addendum, are the whole agreement between us about Mosaqo. If they conflict, the Data Processing Addendum wins for personal data. The laws of the State of Wyoming, USA, govern this agreement, and the state and federal courts of Wyoming have exclusive jurisdiction, except where mandatory law says otherwise. Neither of us may transfer this agreement without the other's consent, except as part of a merger or sale of the business. If one part is unenforceable, the rest still applies.

Data Processing Addendum

This addendum applies when Mosaqo processes personal data for you under the EU or UK General Data Protection Regulation, Thailand's Personal Data Protection Act B.E. 2562 (2019), Indonesia's Law No. 27 of 2022 on Personal Data Protection, or similar law. For that data, you are the controller (or a processor acting for your client) and Mosaqo is your processor (or subprocessor).

Instructions and confidentiality

We process personal data only on your documented instructions, which are these terms and your use of Mosaqo's features, unless the law requires otherwise; if so, we tell you first where the law allows. We tell you if we believe an instruction breaks data protection law. Everyone at Mosaqo who can access the data is bound to confidentiality.

Security

We protect the data with appropriate technical and organizational measures, including:

  • encryption in transit (TLS) and at rest by our hosting providers;
  • access limited to the people who need it, with strong authentication;
  • sign-in tokens and passwords stored only as hashes;
  • backups, logging and monitoring for errors and misuse;
  • keeping the data we collect, and share with providers, to what each feature needs.

Subprocessors

You authorize us to use the subprocessors listed in our Privacy Policy. We bind each one to data protection terms at least as protective as this addendum and remain responsible for them. We will announce new subprocessors at least 30 days in advance. If you object on reasonable data protection grounds and we can't resolve it, you may cancel and receive a refund of prepaid fees for the unused period.

Helping you

We help you, as far as reasonably possible, to answer requests from people exercising their data protection rights, to keep the data secure, and with impact assessments and consultations with authorities. We notify you without undue delay after we become aware of a personal data breach affecting your data, with the information we have.

Deletion

When the service ends, we delete or return the data as described in "Leaving Mosaqo" above, unless the law requires us to keep it.

Audits

We make available the information needed to show we meet this addendum. You may audit us, or have an independent auditor do so, once a year on 30 days' notice, at your cost, without disrupting our operations or others' confidentiality; we may first answer with existing reports and documentation.

International transfers

We host the platform in the European Union. Mosaqo LLC is based in the United States, and some subprocessors process data in the United States and other countries. Where data from the EEA, the UK or Switzerland is transferred to a country without an adequacy decision, the EU Standard Contractual Clauses (Commission Decision 2021/914) apply and are incorporated by reference: Module 2 where you are a controller, Module 3 where you are a processor. For them, Clause 7 does not apply; Clause 9 option 2 applies with the notice period above; Clause 11's optional wording does not apply; the supervisory authority is the one competent for you; Clauses 17 and 18 choose the law and courts of Ireland; and the annexes are filled in by this addendum. For UK data, the UK International Data Transfer Addendum applies, and for Swiss data the clauses apply as adapted for Swiss law. Where Thai or Indonesian law applies, we transfer data abroad only with the safeguards that law requires, such as data protection clauses with the recipient.
